End user license agreement for Anycloud backup for Entra ID - Bundle

1. Scope of services and metrics
The agreement includes bundled licenses for Anycloud Backup for Microsoft 365 (ACB365) and Anycloud Backup for Entra ID (ACBE).
Each bundle license provides:
1 licensed Entra user including the corresponding Microsoft 365 user
Unlimited unlicensed Entra members (subject to fair usage)
Unlimited unlicensed Microsoft 365 members (subject to fair usage)
Pay-go Bundle: Licenses are consumption-based and billed monthly in arrears.
License usage is determined by:
The total number of licensed Entra members within the Microsoft tenant
Standalone Entra or Microsoft 365 backup licenses are available for backing up specific users or members
Each license includes unlimited unlicensed members. However, Anycloud reserves the right to bill additional licenses if the number of unlicensed members exceed 500% (5 times) of the total licensed members. For each 10 unlicensed members beyond fair-usage, 1 additional license is added to the license measurement.
2. Licensing models
Consumption is billed on a usage-based model at a standard unit rate, with no upfront commitment. Charges are calculated from actual utilization and invoiced monthly in arrears, providing full flexibility and cost transparency.
3. License measurement
License usage is measured on the number of licensed Entra members. Unlicensed members can be included, but if the ratio exceeds the fair usage rule (500%), Anycloud may add additional licenses to the measurement.
4. Licensing alternatives
Standalone Entra or Microsoft 365 licenses are available for customers who only need to back up specific users or members outside the bundle.
4. Fair use
Each license includes unlimited unlicensed members. Unlimited Storage and Fair Usage Definition
Anycloud provides unlimited cloud storage as part of the Backup for Entra ID subscription per user (seat). Unlimited means there are no fixed limits for normal business usage. To ensure service stability and performance across all customers, a Fair Usage principle applies.
Normal usage is defined as consumption reasonably aligned with standard Microsoft Entra ID usage patterns. Customers whose total usage deviates significantly from these patterns may be subject to review.
Attempting to back up large amounts of shared identity or configuration data while licensing only a small fraction of users may be considered outside Fair Usage.
Monitoring and Notification
Anycloud continuously monitors usage to maintain service quality. If a customer’s usage significantly exceeds typical patterns, the customer will be notified in advance. Anycloud will work together with the customer to explore solutions, which may include:
Data optimization (e.g. adjusting retention policies)
Purchasing additional licenses
Agreeing on reasonable overage adjustments
Handling of Overconsumption
If a customer persistently and excessively exceeds Fair Usage despite prior communication, Anycloud reserves the right to:
Charge an additional fee based on excess storage consumed, or
Restrict access to additional backup capacity
Such measures will only be taken after prior notification and an opportunity to address the situation.
Right to Modify
Anycloud reserves the right to update or modify this Fair Usage Policy at any time. Any changes will be communicated in advance and will not retroactively affect customers who are compliant at the time of notification.
